Welcome to TechieCV Co. Ltd. (“Company,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our platform, including our website www.techiecv.com, services, and the recruitment database (collectively, the “Services”).

By accessing or using the Services, including as a profile owner (“Individual Database User”) or a recruiter/employer (“Professional Database User”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Scope and User Categories

These Terms apply to:

• a) All Users, Any individual or entity accessing or using the Services.
• b) Individual Database Users, Individuals who voluntarily provide their profile information to be included in our recruitment database for job-matching purposes.
• c) Professional Database Users, Verified companies, employers, or recruiters who access the recruitment database through a paid subscription for legitimate hiring purposes in Japan.

2. Use of Services

2.1. General Obligations for All Users

As a condition of accessing and using the Services, you agree to strictly adhere to the following obligations. Any breach of these obligations may result in immediate suspension or termination of your account, legal action, and potential liability for damages.

You must:

• Use the Services solely for lawful, authorized, and ethical purposes, in accordance with these Terms and our Privacy Policy.
• Provide complete, accurate, current, and truthful information at all times, including when registering or submitting profile or business data.
• Promptly update any information that becomes inaccurate, misleading, or outdated.
• Comply with all applicable laws and regulations, including:
• The Act on the Protection of Personal Information (APPI) in Japan
• The General Data Protection Regulation (GDPR)
• Applicable U.S. state privacy laws (e.g., CCPA/CPRA)
• Labor and employment regulations related to recruitment activities
• Respect the privacy and data protection rights of other users, and only access or process personal data in accordance with the purpose for which it was lawfully provided.

You are strictly prohibited from:

• Scraping, crawling, indexing, harvesting, or otherwise collecting personal data, profile information, or system content from the Services.
• Circumventing, disabling, or interfering with any access control, authentication, or data protection mechanisms.
• Repurposing, storing, or redistributing user data for any purpose outside the expressly permitted scope.
• Impersonating any person or entity, or misrepresenting your affiliation, status, or intent.
• Engaging in unauthorized access, probing, scanning, or testing the vulnerability of any system.
• Using the Services for spam, harassment, discrimination, or any activity that may harm others.

TechieCV Co. Ltd. reserves the right to:

• Investigate suspected or actual breaches, including reviewing activity logs and cooperating with authorities.
• Immediately suspend or permanently terminate your access to the Services without prior notice.
• Pursue legal remedies, including claims for injunctive relief, damages, and reimbursement of legal and enforcement costs.

2.2 User Representations and Warranties

By using the Services, you represent and warrant that:

• You are legally eligible to enter into these Terms and use the Services.
• You have full authority to bind any entity on whose behalf you use the Services.
• You will use the Services only in accordance with applicable laws and these Terms.
• You have obtained all necessary consents to provide or process any personal data submitted through the Services.

3. Terms Specific to Individual Database Users

As an Individual Database User, you may:

• Create, edit, and manage your profile whenever the feature is available.
• Choose your profile visibility: Public, Masked, or Deleted.
• Withdraw your consent and delete your profile at any time.
• Export your data upon request.
• Contact us to object to data processing or request complete deletion.

By submitting your profile, you consent to:

• Have your profile included in our recruitment database.
• Allow verified Professional Database Users to view your profile for legitimate hiring purposes.
• Receive communications from recruiters related to job opportunities.

Your data will not be disclosed beyond vetted Professional Database Users and Data Recipients as provided in the Privacy Policy.

4. Terms Specific to Professional Database Users

As a Professional Database User, you are granted access to certain features and data within the recruitment database operated by TechieCV Co. Ltd. This access is strictly limited to legitimate recruitment and professional engagement purposes as outlined in these Terms and our Privacy Policy.

By subscribing to and using the Database Service, you acknowledge and agree to the following binding obligations:

4.1. Permitted Use

You may:

• Access and search the recruitment database only through the tools and interface provided by TechieCV Co. Ltd.;
• View public profiles of Individual Database Users who have consented to such visibility;
• Contact candidates directly for legitimate hiring or project-based opportunities, in accordance with applicable employment and data protection laws;
• Retain data only for as long as necessary to fulfill recruitment purposes, and delete it upon request from TechieCV Co. Ltd. or the data subject.

4.2. Prohibited Conduct

You are strictly prohibited from:

• Exporting, scraping, copying, or archiving any profile data, in whole or in part, outside the intended use of the platform;
• Sharing, selling, licensing, or transferring access to the database or its contents to third parties;
• Circumventing privacy or visibility settings, including attempts to identify or contact masked or deleted profiles;
• Using the Services for lead generation, sales, marketing, competitor research, or any purpose unrelated to recruitment activities;
• Retaining or reusing candidate data beyond the scope of the initial opportunity without renewed, explicit consent;
• Creating bulk communications or unsolicited outreach (spam) to candidates or other users;
• Misrepresenting your identity, company affiliation, or hiring intent in communications with candidates.

Any breach of the above will be deemed a material violation of these Terms and may lead to immediate account suspension, legal action, and liability for damages.

4.3. Mandatory Compliance

You must:

• Comply with all data protection laws and obligations under the Privacy Policy, including the APPI, GDPR, and relevant U.S. privacy regulations;
• Implement appropriate organizational and technical measures to protect candidate data accessed through the database;
• Delete or cease processing any personal data upon request by TechieCV Co. Ltd. or the relevant Individual Database User;
• Notify TechieCV Co. Ltd. without undue delay if you become aware of any unauthorized access, data breach, or misuse related to your use of the platform.

4.4. Right to Audit and Verification

To ensure lawful use and prevent misuse of the Database Service, TechieCV Co. Ltd. reserves the right to audit your use of the Services.

We may:

• Monitor access logs, API calls, and account activity for indicators of breach or misuse;
• Request documentation or explanations related to your recruitment processes and data retention practices;
• Require written certification of compliance with these Terms and applicable data protection laws;
• Conduct a remote or onsite compliance audit with reasonable notice, particularly in the case of a suspected or reported breach.

Failure to cooperate with an audit request or concealment of evidence of misuse will be treated as a material breach and may result in account termination and legal action.

5. Data Collection and Protection

We process personal data:

• Based on user consent or other legal grounds defined under GDPR and APPI.
• For the purpose of recruitment, communication, platform management, and compliance.
• In accordance with our Privacy Policy.

We implement robust technical and organizational measures to secure personal data, but cannot guarantee absolute security.

6. Confidentiality

6.1. Definition of Confidential Information

For the purposes of these Terms, “Confidential Information” includes, but is not limited to:

• Personal data of Individual Database Users accessed through the Database Service;
• Non-public business information, technical data, and trade secrets of TechieCV Co. Ltd.;
• Any information marked as confidential or that a reasonable person would understand to be confidential, including pricing, business plans, product designs, platform functionality, and proprietary recruitment methodologies;
• Communications between the Company and Professional or Individual Users, including email exchanges, internal notices, or compliance inquiries.

6.2. Obligations

All Users, and Professional Database Users in particular, agree to:

• Treat all Confidential Information as strictly confidential and use it solely for the intended purpose under these Terms;
• Not disclose, publish, transmit, or otherwise make available any Confidential Information to any third party without prior written consent from TechieCV Co. Ltd.;
• Implement appropriate technical and organizational measures to prevent unauthorized access, use, disclosure, or loss of Confidential Information;
• Immediately notify TechieCV Co. Ltd. in the event of any actual or suspected unauthorized disclosure or misuse of Confidential Information.

These obligations apply during your use of the Services and will continue for a period of three (3) years following the termination of your account or cessation of use, unless a longer period is required by applicable law.

6.3. Exceptions

The confidentiality obligations set forth above do not apply to information that:

• Was already known to the receiving party at the time of disclosure without breach of any obligation of confidentiality;
• Becomes publicly available through no fault of the receiving party;
• Is lawfully disclosed to the receiving party by a third party without confidentiality restrictions;
• Is independently developed by the receiving party without use of or reference to the disclosing party’s Confidential Information;
• Must be disclosed pursuant to a valid legal requirement, such as a court order or government request, provided that, where legally permissible, the receiving party promptly notifies the disclosing party and cooperates to limit the scope of disclosure.

6.4. Remedies

Any breach of this clause constitutes a material breach of these Terms and may result in immediate termination of access to the Services, in addition to any other remedies available at law or in equity. TechieCV Co. Ltd. reserves the right to pursue injunctive relief, monetary damages, and legal costs in the event of unauthorized disclosure or misuse of Confidential Information.

7. Intellectual Property

All materials, code, and content on our platform are owned by TechieCV Co. Ltd. All content, software, architecture, design, user interface, databases (including but not limited to the recruitment database), underlying algorithms, platform functionalities, trademarks, service marks, trade names, and any other intellectual property associated with the Services (collectively, the “Platform Materials”) are the sole and exclusive property of TechieCV Co. Ltd. or its licensors.

The recruitment database, including its structure, curation, and compiled information, is the proprietary asset of TechieCV Co. Ltd. and is protected under applicable intellectual property laws in Japan and internationally. While Individual Database Users retain rights to their own submitted data, they do not acquire any ownership or control over the database or the platform itself by virtue of their submissions.

7.1. Restrictions

Unless explicitly authorized in writing by TechieCV Co. Ltd., you may not, and may not allow any third party to:

• Copy, reproduce, duplicate, modify, translate, adapt, reverse engineer, decompile, or disassemble any part of the Platform Materials.
• Access, extract, scrape, or download all or part of the recruitment database for offline storage or use.
• Share, distribute, resell, sublicense, or commercially exploit the Services, the recruitment database, or any content or data therein.
• Circumvent any technical or organizational access controls protecting the Services.

Any unauthorized use or reproduction of Platform Materials, including the database, constitutes a material breach of these Terms and may also constitute infringement of intellectual property rights under Japanese and international law.

7.2. Consequences of Breach

If you violate this clause, TechieCV Co. Ltd. reserves the right to:

• Immediately terminate your account and access to the Services without notice.
• Pursue civil or criminal legal action, including injunctive relief, damages, and reimbursement of legal fees and costs.
• Notify affected individuals or authorities, if your misuse involves unauthorized handling of personal data or breaches data protection laws.

TechieCV Co. Ltd. takes intellectual property and data security seriously. All violations will be investigated and addressed to the fullest extent permitted by law.

8. Availability and Disclaimers

We strive to ensure the continuous, secure, and reliable operation of the Services. However, we do not guarantee that access to the Services will be uninterrupted, error-free, or secure at all times. The Services may be temporarily unavailable due to maintenance, upgrades, system failures, force majeure events, or for other reasons beyond our control.

8.1. No Warranties

The Services are provided “as-is” and “as available,” without any warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement;
• Warranties that the Services will meet your requirements or expectations;
• Warranties regarding the outcomes of using the Services, including hiring success or candidate suitability.

We make no representations or warranties regarding:

• The accuracy, completeness, legality, or reliability of any user-submitted content, including profile data or communications;
• The conduct, qualifications, or intentions of any other user (including recruiters or jobseekers);
• The timeliness or effectiveness of any hiring or professional engagement facilitated through the Services.

8.2. Limitation of Liability

To the maximum extent permitted by applicable law, TechieCV Co. Ltd. shall not be liable for any:

• Losses or damages resulting from the use of, or inability to use, the Services;
• Errors, inaccuracies, or omissions in any content or data submitted by users;
• Hiring outcomes, including missed opportunities, rejected offers, or failed engagements;
• Unauthorised access to or alteration of user data or communications;
• Indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, goodwill, data, business opportunities, or reputation, even if we have been advised of the possibility of such damages.

In any case, our total liability for any claim arising out of or related to these Terms or the use of the Services shall not exceed the total amount of fees (if any) paid by you to TechieCV Co. Ltd. in the six (6) months preceding the event giving rise to the claim.

9. Termination

You may terminate your account at any time.

We may suspend or terminate access without notice if:

• You breach these Terms or our Privacy Policy.
• Your actions create risk or legal liability for us or others.
• You misuse the platform or personal data.

Upon termination, your access will cease, and data will be deleted according to our retention policy.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of Japan.

Disputes will be resolved under the exclusive jurisdiction of the Tokyo District Court or the competent court of your registered address, unless otherwise required by applicable law.

11. Revisions

We may update these Terms at any time. Material changes will be notified via email or in-platform notifications.

Continued use after changes take effect constitutes acceptance of the revised Terms.

13. Survival

The following provisions shall survive the termination, expiration, suspension, or deactivation of your access to the Services, and shall remain in full force and effect:

• Section 4, Terms Specific to Professional Database Users
• Section 7, Intellectual Property and Ownership of the Database
• Section 9, Availability, Disclaimers, and Limitation of Liability
• Section 11, Governing Law & Jurisdiction
• Section 6, Confidentiality
• Section 14, Survival

Any other provisions which by their nature, purpose, or context are intended to survive termination (including data protection obligations, rights to injunctive relief, dispute resolution provisions, and limitation of liability) shall remain in effect.

14. Indemnification

You agree to indemnify, defend, and hold harmless TechieCV Co. Ltd., its affiliates, officers, employees, contractors, and agents from and against any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

• Your use or misuse of the Services;
• Your breach of these Terms or the Privacy Policy;
• Unauthorized processing or disclosure of personal data;
• Any dispute with another user or third party.

15. Force Majeure

TechieCV Co. Ltd. shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, cyberattacks, war, labor strikes, governmental actions, or pandemics.

16. Entire Agreement and Severability

These Terms, together with the Privacy Policy and any other referenced documents, constitute the entire agreement between you and TechieCV Co. Ltd. concerning the Services. If any provision is found invalid or unenforceable, it shall be severed, and the remaining provisions shall remain in full force and effect.
